Atlantis Terms and Conditions

1. Introduction

Welcome to Atlantis. These Terms and Conditions ("Terms") govern access to and use of the websites, platforms, booking engines, online reservation systems, software, applications, payment-related features, support services, and related services operated or made available by Atlantis (collectively, the "Services").

For purposes of these Terms, "Atlantis," "we," "us," or "our" refers to Atlantis Systems Technologies Filipinas Corp., Atlantis Systems Technologies Malaysia Sdn. Bhd., Atlantis Systems Asia Holdings Pte. Ltd., and/or their related Atlantis group entities, as applicable.

Atlantis provides hospitality technology, online travel agency services, online travel agency platforms, online reservation systems, booking engine services, channel management, property management system support, digital marketing, reservation processing, customer support, payment facilitation, travel distribution support, and related services for hotels, resorts, accommodation providers, tourism-related businesses, corporate clients, and guests.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Services.

Where you or your organization has entered into a separate service agreement, merchant agreement, hotel agreement, order form, data processing agreement, or other written agreement with Atlantis, that written agreement will apply in addition to these Terms. In the event of conflict, the applicable written agreement will prevail to the extent of the conflict.

2. Use of the Site and Services

You agree to use the Services in accordance with these Terms and applicable law. You must be at least 18 years old or have legal authority to enter into agreements on behalf of your organization.

You agree that you will not:

  • use the Services for any unlawful, fraudulent, misleading, or unauthorized purpose;
  • use the Services for money laundering, terrorist financing, sanctions evasion, illegal gambling, unauthorized financial services, or other prohibited activities;
  • attempt to gain unauthorized access to Atlantis systems, networks, accounts, data, or infrastructure;
  • introduce viruses, malware, harmful code, automated scraping tools, or disruptive technologies into the Services;
  • interfere with, disrupt, or attempt to circumvent the security, integrity, availability, or proper operation of the Services;
  • misuse guest, customer, hotel, property, booking, or payment information; or
  • process or attempt to process transactions unrelated to legitimate hotel, accommodation, hospitality, tourism, travel, or Atlantis-approved services.

3. Atlantis Services

Atlantis provides digital travel, hospitality technology, online booking, reservation, distribution, and support services. Depending on the applicable agreement or service arrangement, the Services may include:

  • online reservation system and booking engine services;
  • hotel/property listing and distribution across Atlantis websites, web applications, partner channels, and other approved channels;
  • channel management, rate and availability support, PMS-related support, and booking transmission;
  • digital marketing, promotions, guest inquiry handling, and reservation coordination;
  • payment facilitation and payment gateway integrations for hotel, accommodation, travel, and hospitality-related bookings;
  • reporting, reconciliation, customer support, and related operational services; and
  • other products, platforms, tools, or services made available by Atlantis.

The exact Services provided to a customer, hotel, property, corporate client, or partner are subject to the applicable written agreement, order form, service proposal, or commercial arrangement.

4. Atlantis Role in Hotel, Accommodation, and Travel Bookings

Unless expressly stated otherwise in a written agreement, Atlantis is a hospitality technology provider, online travel booking service provider, hotel reservation platform, booking facilitator, distribution partner, and/or service provider for hotels, resorts, accommodation providers, and travel-related businesses.

Atlantis may list properties, facilitate bookings, confirm reservations, transmit booking details, provide guest support, process booking-related payments, coordinate modifications or cancellations, and assist with reservation-related services.

Unless expressly stated otherwise, Atlantis is not the hotel, resort, accommodation provider, property owner, property operator, carrier, tour operator, or direct provider of the stay, room, amenities, facilities, or on-site services. The relevant hotel, resort, accommodation provider, or travel service provider remains responsible for the actual accommodation, guest stay, facilities, service delivery, inventory, rates, room availability, property descriptions, taxes, permits, compliance, safety, and guest experience.

5. Payments and Payment-Limited Use

Payments processed through Atlantis are limited to transactions connected with hotel reservations, accommodation bookings, hospitality services, tourism-related services, travel bookings, vouchers, add-ons, and other Atlantis-approved services offered through Atlantis-supported platforms or written arrangements.

Atlantis does not provide open-ended payment processing for unrelated third-party merchants and does not permit the Services to be used for unrelated payment aggregation, money transmission, cash-out, or payment collection activities outside the scope of approved hotel, travel, hospitality, or tourism-related Services.

Where Atlantis processes or facilitates payments, such activity is connected to specific bookings or approved services and may be performed as merchant of record, booking facilitator, payment facilitator, limited collection agent, technology service provider, or other role stated in the applicable written agreement or payment provider arrangement.

Payments may be processed through third-party payment gateways, banks, card networks, e-wallets, processors, acquiring banks, payment service providers, or other financial technology partners. Payment availability, timing, acceptance, settlement, chargeback handling, refunds, and reversals may be subject to the rules, policies, cut-off times, review procedures, and requirements of those third-party providers.

6. Bookings, Cancellations, No-Shows, Refunds, and Chargebacks

Bookings, cancellations, no-shows, refunds, amendments, chargebacks, and payment disputes are subject to the booking terms displayed at the time of booking, the applicable hotel/property policy, the applicable travel or accommodation provider terms, the applicable written agreement, and the rules of relevant payment providers, banks, card networks, or e-wallets.

Guests and customers are responsible for reviewing all booking conditions, cancellation rules, refund eligibility, payment terms, taxes, fees, and restrictions before completing a booking or transaction.

Hotels, resorts, accommodation providers, and travel service providers are responsible for honoring confirmed bookings, providing accurate rates and availability, delivering the booked services, and complying with their own policies and legal obligations.

Atlantis may assist in processing refunds, chargeback responses, booking adjustments, or guest disputes where applicable, but approval and timing may depend on the relevant hotel/property policy, payment provider rules, card network rules, bank processing timelines, or other applicable procedures.

7. Hotel, Property, and Partner Responsibilities

Hotels, resorts, accommodation providers, corporate clients, and other partners using the Services are responsible for:

  • providing accurate and updated room details, property descriptions, rates, inclusions, availability, blackout dates, policies, photos, amenities, taxes, fees, and legal disclosures;
  • honoring confirmed bookings and delivering services as advertised;
  • complying with all applicable laws, permits, tax rules, safety requirements, consumer protection rules, tourism regulations, data privacy laws, and payment-related obligations;
  • handling on-site guest service, accommodation delivery, complaints, disputes, incidents, and operational matters relating to the property or service;
  • providing documentation reasonably required for refund, chargeback, fraud, dispute, or compliance review; and
  • ensuring that any information, content, trademarks, photos, or materials provided to Atlantis may lawfully be used for listing, marketing, reservation, and service purposes.

8. Third-Party Services and Integrations

Certain features of the Services may rely on or integrate with third-party products, platforms, systems, banks, payment processors, acquiring banks, card networks, e-wallets, OTAs, channel managers, PMS providers, cloud services, telecommunications providers, analytics tools, or other service providers.

Atlantis is not responsible for the availability, performance, errors, downtime, fees, policies, approval decisions, account restrictions, chargebacks, settlement timing, payment holds, or terms of third-party services that are outside Atlantis' reasonable control.

Your use of third-party services may be subject to separate terms, policies, and requirements imposed by those third parties.

9. Intellectual Property

All content, software, designs, systems, processes, documentation, trademarks, logos, trade names, technology, code, workflows, materials, and other intellectual property provided through the Services are owned by Atlantis or its licensors and are protected by applicable intellectual property laws.

You may not, without Atlantis' prior written consent:

  • copy, modify, distribute, reproduce, sell, lease, sublicense, or commercially exploit any part of the Services;
  • use Atlantis trademarks, logos, or branding;
  • reverse-engineer, decompile, disassemble, or attempt to derive source code from any software, except to the extent such restriction is prohibited by applicable law; or
  • remove proprietary notices, watermarks, or attribution from Atlantis materials.

Nothing in these Terms transfers ownership rights in Atlantis' intellectual property to you.

10. Customer and Partner Content

You represent and warrant that you have all necessary rights, permissions, and authority to provide any content, data, images, logos, descriptions, rates, policies, guest information, booking information, or other materials submitted to Atlantis or uploaded through the Services.

You grant Atlantis a non-exclusive, worldwide, royalty-free license to use, display, reproduce, distribute, transmit, and process such content and data as reasonably necessary to provide, operate, improve, market, and support the Services, subject to applicable agreements and data protection laws.

11. Privacy and Data Protection

Your use of the Services may involve the collection, use, storage, processing, sharing, or transfer of personal data. Atlantis will handle personal data in accordance with its applicable Privacy Policy, contractual obligations, and applicable data protection laws.

Where Atlantis processes personal data on behalf of a customer or partner, such processing may also be governed by an applicable service agreement, data processing agreement, or other written agreement.

You are responsible for obtaining all required consents, notices, permissions, and legal bases for personal data that you provide to Atlantis, including guest, customer, employee, representative, hotel, property, and payment-related information.

12. Fees, Subscriptions, and Commercial Terms

Fees, subscriptions, commissions, charges, payment terms, billing schedules, deductions, taxes, and commercial terms are governed by the applicable written agreement, order form, service proposal, invoice, or payment provider arrangement.

Unless expressly stated otherwise, all taxes, government charges, withholding obligations, bank charges, payment processing fees, and third-party fees may be handled in accordance with the applicable written agreement or service arrangement.

13. Disclaimers

The Services are provided on an "as is" and "as available" basis, except as expressly stated in an applicable written agreement.

To the fullest extent permitted by applicable law, Atlantis disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted access, error-free operation, complete accuracy of content, or continuous availability of third-party services.

Atlantis does not guarantee that the Services will meet all requirements, that all defects will be corrected, or that access will be uninterrupted, secure, or free from errors, delays, disruptions, outages, cyber incidents, or third-party failures.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Atlantis shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, business opportunities, bookings, or anticipated savings.

To the fullest extent permitted by applicable law, Atlantis' total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the amount paid by you to Atlantis for the applicable Services during the twelve (12) months immediately preceding the event giving rise to the claim, unless otherwise specified in an applicable written agreement.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

15. Suspension and Termination

Atlantis may suspend, restrict, or terminate access to the Services for reasons including violation of these Terms, non-payment, suspected fraud, security risk, misuse, unlawful activity, prohibited transactions, compliance concerns, chargeback or dispute risk, data misuse, third-party provider requirements, or breach of an applicable written agreement.

Where reasonably practicable, Atlantis may provide notice and an opportunity to remedy a breach before termination. Atlantis may suspend access immediately where reasonably necessary to protect the security, integrity, availability, or lawful operation of the Services, or to protect Atlantis, its customers, partners, guests, payment providers, or third parties.

Any termination or suspension will also be subject to the terms of any applicable written agreement.

16. Changes to These Terms

Atlantis may update these Terms periodically to reflect changes in its practices, Services, legal requirements, commercial arrangements, or operational requirements. Updated Terms will be posted on the website with the applicable "Last Updated" date.

Your continued use of the Services after the updated Terms are posted constitutes acceptance of the revised Terms.

Where changes are material, Atlantis may provide additional notice where reasonably practicable or required by applicable law. Changes to these Terms will not override the terms of an existing written agreement unless expressly agreed by the parties.

17. Force Majeure

Atlantis shall not be responsible for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, acts of government, war, civil unrest, labor disputes, epidemics or pandemics, telecommunications or internet failures, power outages, cyber incidents, payment network failures, banking system delays, third-party infrastructure failures, or failures of third-party service providers.

18. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to conflict of law principles, unless a separate written agreement provides otherwise.

Any disputes arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the proper courts of Pasig City, Metro Manila, Philippines, unless a separate written agreement provides otherwise.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

20. Waiver

Any failure by Atlantis to enforce any provision of these Terms shall not constitute a waiver of that provision or of Atlantis' right to enforce it at a later time.

21. Assignment

You may not assign or transfer your rights or obligations under these Terms without Atlantis' prior written consent.

Atlantis may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate reorganization, sale of assets, transfer of business, affiliate restructuring, or similar transaction, subject to applicable law and any applicable written agreement.

22. Entire Agreement and Order of Precedence

These Terms, together with any applicable service agreement, merchant agreement, hotel agreement, contract, order form, Privacy Policy, Data Processing Agreement, payment terms, or other terms expressly incorporated by reference, constitute the applicable agreement between you and Atlantis concerning the Services.

In the event of conflict between these Terms and a separately executed written agreement relating to the Services, the separately executed written agreement shall prevail to the extent of the conflict.
